1. Introduction

Welcome to SMOVR ("SMOVR," "Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the SMOVR website and our healthcare operational follow-through platform and related services (the "Services").

By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.

2. Services

SMOVR provides operational communication and workflow software designed to help healthcare organizations improve patient follow-through, scheduling efficiency, and operational visibility.

Depending on your implementation, the Services may include:

• Patient communication workflows
• Appointment reminders and confirmations
• Running late notifications
• Reschedule requests
• Referral follow-through
• Patient reactivation
• Directions and location assistance
• Two-way SMS communication
• Workflow automation
• Operational reporting and visibility tools

SMOVR is designed to operate outside Electronic Health Record (EHR) systems and is intended to minimize exposure to Protected Health Information (PHI). Clients remain responsible for determining whether their implementation complies with applicable privacy and security requirements.

3. SMS Program Terms

By providing your mobile phone number through SMOVR website forms, appointment scheduling interactions, or other authorized communication channels, you may opt in to receive SMS messages related to your healthcare organization's services.

Types of Messages

Messages may include:

• Appointment reminders
• Appointment confirmations
• Scheduling updates
• Running late notifications
• Directions and location information
• Missed appointment notifications
• Referral follow-up
• Other service-related communications

Marketing messages will only be sent if you have separately provided explicit consent to receive them.

Message Frequency

Message frequency varies based on appointment activity and patient interaction.

Message and Data Rates

Standard message and data rates may apply according to your mobile carrier plan.

Opt-Out

You may opt out of SMS communications at any time by replying STOP to any message.

4. Eligibility and Acceptable Use

You represent that you:

• Are at least 18 years of age
• Are authorized to act on behalf of your organization, if applicable
• Will provide accurate and complete information
• Will comply with all applicable federal, state, and local laws, including TCPA, CTIA, and other messaging regulations

You agree not to use the Services to send unlawful, misleading, fraudulent, or unauthorized communications.

5. Billing and Subscription

Pricing is customized based on practice size, configuration, and selected services.

Unless otherwise agreed in writing:

• Subscription fees are billed monthly.
• Setup fees are non-refundable.
• Optional services may be quoted separately.
• Failure to pay may result in suspension or termination of Services.

Additional pricing terms may be included in your customer agreement or proposal.

6. Compliance Responsibilities

Healthcare organizations remain responsible for:

• Obtaining appropriate patient consent
• Maintaining compliance with applicable privacy regulations
• Complying with federal, state, and local laws governing patient communications
• Determining whether their implementation satisfies organizational compliance requirements

SMOVR provides communication and workflow software but does not provide legal or regulatory advice.

7. Intellectual Property

All software, workflows, graphics, documentation, trademarks, logos, website content, and related materials provided by SMOVR remain the exclusive property of SMOVR unless otherwise agreed in writing.

You may not reproduce, distribute, modify, reverse engineer, or create derivative works from any portion of the Services without prior written permission.

8. Disclaimer of Warranties

The Services are provided on an "as available" basis.

While SMOVR strives to provide reliable and uninterrupted service, we do not guarantee that the Services will always operate without interruption, delay, or error.

To the fullest extent permitted by law, all warranties, express or implied, are disclaimed.

9. Limitation of Liability

To the fullest extent permitted by law, SMOVR shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of the Services.

SMOVR's total liability for any claim shall not exceed the total amount paid by the customer during the three (3) months immediately preceding the event giving rise to the claim.

10. Termination

Either party may terminate Services in accordance with any applicable customer agreement.

Upon termination, access to the Services may be suspended or discontinued, subject to any outstanding contractual obligations.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to its conflict of law principles.

12. Changes to These Terms

SMOVR may update these Terms from time to time.

Any changes will become effective upon posting the revised Terms on this website. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
